Terms of Service

1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of the websites, products, and services offered by Digital WorkForce 360 ("we," "our," or "us"), including the 24-7 Opportunity Team and the AI Expert Employees delivered as part of it. By purchasing, accessing, or using our services, you agree to these Terms. If you do not agree, do not use the services.
2. The Services
We configure and operate AI Expert Employees that respond to opportunities your business creates across calls, website, text, email, social, and reviews. The scope of your subscription is described at the point of purchase and in your onboarding materials. We may improve, modify, or replace features over time, provided the overall service remains materially equivalent.
3. Your Account and Responsibilities
- You are responsible for the accuracy of the knowledge base content you approve
- You control the instructions and escalation rules the AI employees follow
- You must keep account credentials confidential and notify us of any unauthorized use
- You are responsible for all activity that occurs under your account
4. Acceptable Use
You agree not to use the services to:
- Violate any law, including telemarketing, call recording, messaging, or consent laws
- Send unsolicited messages to contacts who have not lawfully opted in
- Impersonate another business or person, or misrepresent your identity
- Attempt to disrupt, reverse engineer, or gain unauthorized access to our systems
- Publish deceptive reviews or manipulate review platforms in violation of their rules
5. Fees, Billing, and Cancellation
Subscription fees and any one-time setup fees are disclosed before purchase. Subscriptions bill in advance on a recurring basis until cancelled. There are no long term contracts; you may cancel at any time and your service continues through the end of the billing period already paid for. Fees already paid are non-refundable except where required by law. We may change pricing for future billing periods with advance notice; any rate you were told is locked for your subscription remains locked while that subscription stays active.
6. AI Output and Human Oversight
The AI Expert Employees add capacity to your existing team. They generate responses automatically and can make mistakes, misunderstand a request, or produce an unsuitable answer. You remain responsible for reviewing outcomes, setting escalation rules, and making final business, legal, financial, medical, or safety decisions. Do not rely on AI output as professional advice.
7. Results and Estimates
Any calculators, revenue estimates, case studies, or example figures shown on our sites are illustrative only, based on inputs you provide and general industry assumptions. They are not a promise, projection, or assurance of results. Actual results vary by market, offer, pricing, staffing, demand, and execution.
8. Third Party Services
Our services integrate with third party platforms such as telephony providers, CRM infrastructure, payment processors, scheduling tools, and review platforms. Your use of those platforms is governed by their own terms. We are not responsible for third party outages, policy changes, or actions beyond our control.
9. Intellectual Property
We retain all rights in our software, prompts, configurations, workflows, branding, and documentation. You retain all rights in your business content, customer data, and materials you provide. You grant us a limited licence to use that material solely to operate and support the services for you.
10. Confidentiality and Privacy
Each party will protect the other's non public information. Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms.
11. Service Availability
We work to keep the services available around the clock, but we do not promise uninterrupted operation. Planned maintenance, carrier issues, third party outages, and events outside our reasonable control may interrupt service. The services are provided on an "as is" and "as available" basis to the fullest extent permitted by law.
12. Limitation of Liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost business opportunities. Our total aggregate liability arising out of or relating to the services is limited to the amounts you paid us in the three months immediately preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your content, your customer data, your instructions to the AI employees, or your violation of these Terms or applicable law.
14. Suspension and Termination
We may suspend or terminate the services for non payment, unlawful use, abuse of the platform, or material breach of these Terms. You may stop using the services at any time. Sections that by their nature should survive termination will survive.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict of law rules. The parties agree to attempt good faith resolution first, and otherwise submit to the exclusive jurisdiction of the state and federal courts located in Collier County, Florida.
16. Changes to These Terms
We may update these Terms. When we make material changes, we will update the Effective Date above and, where appropriate, notify you. Continued use of the services after changes take effect constitutes acceptance.
